In accordance with section 90(1)(b) of the Electricity Industry Act 2010 (“Act”) the (“Authority”) gives the following notice.

1. Exemption
Rukumoana Tira Marie Schaafhausen (“Ms Schaafhausen”) is exempted from compliance with section 73(1) of the Act in relation to her appointment as a director of the Tainui Group Holdings Limited (TGHL) board and the Contact Energy Limited (“Contact”) board.
2. Conditions
This exemption is subject to the following conditions.
(1) While Ms Schaafhausen is a director of both TGHL and Contact:
- Ms Schaafhausen must not participate in any discussions or decision making by TGHL and/or Contact regarding matters that:
- could affect or favour the supply of electricity by Contact, or disadvantage any other business selling electricity on the Ruakura EDB LP network other than Contact, on that network or the provision of electricity lines services by Ruakura EDB LP to Contact;
- could affect or favour Contact, or disadvantage any other electricity retailer, in relation to the electricity distribution network owned and operated by Ruakura EDB LP, including the terms and conditions of any use of system agreement or connection agreement between Ruakura EDB LP and Contact;
- involve the selection of, and any negotiation with, any electricity retailer for the supply, or intended supply, of electricity to Ruakura EDB LP;
- involve the supply, or intended supply, of electricity by Contact to any new or existing consumer on Ruakura EDB LP’s electricity distribution network
- Ms Schaafhausen must not disclose the outcome of any discussions or decision making by Ruakura EDB LP or TGHL to Contact, and vice versa, on the matters referred to in paragraph (i);
- the exemption is specific to the cross involvements created through Ms Schaafhausen’s involvement in TGHL and Contact and does not extend to any other interest or future cross involvement;
- Ms Schaafhausen must confirm to the Authority, in writing, within one calendar month after the cross involvement ceases, that the cross involvement to which the exemption applies has ceased.
(2) This exemption will expire on the earlier of the date that Ms Schaafhausen ceases to be a director of both TGHL and Contact or the date any amendment to the Act comes into force, the effect of which is this exemption is no longer required.
3. Commencement
This exemption comes into force on the day after the date it is notified in the New Zealand Gazette.
