Notice of First Meeting of Creditors

Pursuant to Sections 239ADW(1)(b) and 239AO(1)(b) of the Companies Act 1993 (“Act”)

Notice of Appointment

We give notice that on 30 March 2026 Iain Shephard and Jessica Kellow, Licensed Insolvency Practitioners of BDO Wellington Limited, (Registration Numbers: IP71 and IP75, respectively) were appointed joint and several administrators (“administrators”) of the companies, in accordance with section 239I of the Act.

Notice to Creditors

All creditors should forward details of any claim they may have against the companies, including details of any claims made against the assets of the companies in the prescribed claim form, to the administrators at the address detailed below. Claim forms have been sent to creditors and are also available on request.

Notice of Joint First Meeting of Creditors

Notice is now given that a meeting of the creditors of the companies will be jointly held (in accordance with section 239AL of the Act) on Friday 10 April 2026 at 11.00am at BDO Wellington Limited, Level 1, 50 Customhouse Quay, Wellington.

If any creditor wishes to object to the joint meeting, they must submit their objections to the administrators to the address detailed below to be received no later than on 8 April 2026 at 11.00am. Unless any creditor objects in accordance with this notice, all creditors will be taken to have agreed to the joint meeting. Notwithstanding that the first creditors meeting may be a joint meeting, voting for the motions will be conducted separately for each of the companies.

Creditors may also attend online via Microsoft Teams by giving notice to simon.macpherson@bdo.co.nz before 8 April 2026 at 11.00am.

The business to be dealt with at the meeting is for creditors of each of the companies to decide:

1. whether to appoint a creditors’ committee and, if so, its members; and
2. whether to replace the administrators.
