Rinnai New Zealand Limited and Rinnai Holdings (NZ) Limited Notice of Amalgamation of Companies Take notice that not less than 30 days after the date of this notice, Rinnai New Zealand Limited (having its registered office and place of business at Auckland) and Rinnai Holdings (NZ) Limited (having its registered office and place of business at Auckland) propose to amalgamate and continue as one company (being Rinnai New Zealand Limited). Such amalgamation is subject to compliance with all relevant requirements of Part VA of the Companies Act 1955 and those matters required by the amalgamation proposal to be completed to effect the amalgamation. Copies of the amalgamation proposal are available for inspection by any member or creditor of either amalgamating company or any person to whom either amalgamating company is under an obligation at the registered offices of these companies being 691 Mount Albert Road, Royal Oak, Auckland. A member or creditors of either amalgamating company or any person to whom either amalgamating company is under an obligation is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to either amalgamating company.
