Public Notice of Amalgamation Proposal

Pursuant to Section 221(4) of the Companies Act 1993

Notice is given that DELTA INSURANCE NEW ZEALAND LIMITED (“Delta NZ”) and DELTA PROPERTY INSURANCE LIMITED (“Delta Property”), being the amalgamating companies, propose to amalgamate with effect from 31 March 2023 (being a date no less than 20 working days from the date of this notice) and continue as DELTA INSURANCE NEW ZEALAND LIMITED.

Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of Delta NZ or Delta Property or any other person to whom Delta NZ or Delta Property is under an obligation, at the registered office of Delta NZ and Delta Property, being Level 2, 204 Quay Street, Auckland 1010, during normal business hours of 9am to 5pm.

A shareholder or creditor of Delta NZ or Delta Property or any other person to whom Delta NZ or Delta Property is under an obligation is entitled upon request to be supplied free of charge with a copy of the amalgamation proposal.
