On the 18th day of November 2003, it was resolved by special resolution of the shareholder, pursuant to section 241 (2) (a) of the Companies Act 1993, that Auckland Wholesale Car Co Limited be liquidated and that

Dick & Associates, be appointed liquidator for that purpose.
The liquidation commenced on the 18th day of November 2003 at 10.00 a.m.
