EDS (New Zealand) Holdings Limited (``the company'') Notice in Respect of an Amalgamation Proposal Pursuant to Section 221 (4) (b) of the Companies Act 1993 1. It is proposed to amalgamate the company and EDS (New Zealand) Limited, under sections 220 and 221 of the Companies Act 1993 (``the amalgamation proposal''). EDS (New Zealand) Limited will continue as the amalgamated company and will succeed to all the property, rights, powers, privileges, liabilities and obligations of the company. The company will be removed from the Register of Companies, following the amalgamation. 2. Copies of the amalgamation proposal are available for inspection during normal business hours by any shareholder of the company, any creditor of the company, or any person to whom the company is under any obligation, at the registered offices of the company being Level Nine, South Tower, 6886 Jervois Quay, Wellington. 3. A shareholder of the company, any creditor of the company or any person to whom the company is under any obligation is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to the company at its registered office stated above, marked for the attention of the company secretary.
